Basic Policy on IR Activities

SHOFU INC. (the "Company") is committed to ensuring the transparency, timeliness, fairness, accuracy, and continuity of information provided to all stakeholders, including shareholders and investors. The Company strives to disclose information promptly and appropriately, in accordance with the Financial Instruments and Exchange Act and the Timely Disclosure Rules prescribed by the Tokyo Stock Exchange.

Disclosure Methods

Information subject to the Timely Disclosure Rules prescribed by the Tokyo Stock Exchange is disclosed through the Timely Disclosure Network (TDnet) provided by the Tokyo Stock Exchange. Statutory disclosure documents, including Annual Securities Reports, are filed and disclosed via EDINET, the electronic disclosure system administered by Japan's Financial Services Agency.
In addition, information deemed useful for enhancing stakeholders' understanding of the Company is disclosed on the Company's website in accordance with the spirit of the Fair Disclosure Rule under the Financial Instruments and Exchange Act.

Fair Disclosure of Material Information and Prevention of Insider Trading

The Company has established internal rules for the proper management of material corporate information with the objectives of preventing insider trading and ensuring the fair disclosure of information. The Company also strives to promote full awareness and understanding of these rules among all officers and employees across the Group.

Forecasts and Forward-Looking Statements

The information disclosed by the Company may include forecasts of financial results and other forward-looking statements. Such statements are based on information available to the Company at the time of disclosure. Accordingly, actual results may differ materially from these forecasts due to various factors.

Quiet Period

To prevent the leakage of financial information prior to earnings announcements and to ensure fairness, the Company designates the period from the day following the fiscal period-end to the date of the earnings release as a quiet period. During this period, the Company refrains from responding to inquiries or providing comments regarding its financial results.
However, if it becomes likely during the quiet period that the Company's earnings forecasts will differ significantly from previously announced figures, the Company will disclose such information in accordance with the Timely Disclosure Rules. Notwithstanding the quiet period, the Company will respond to inquiries relating to information that has already been made public.
